In practice, most force majeure clauses do not excuse a party's non-performance entirely, but only suspend it for the duration of the force majeure. [2] [3] Force majeure is generally intended to include occurrences beyond the reasonable control of a party, and therefore would not cover: Any result of the negligence or malfeasance of a party, which has a materially adverse effect on the ability of such party to perform its obligations. [4] Any result of the usual and natural consequences of external forces. To illuminate this distinction, take the example of an outdoor public event abruptly called off. If the cause for cancellation is ordinary predictable rain, this is most probably not force majeure. If the cause is a flash flood that damages the venue or makes the event hazardous to attend, then this almost certainly is force majeure, other than where the venue was on a known flood plain or the area of the venue was known to be subject to torrential rain [5]. Some causes might be arguable borderline cases (for instance, if unusually heavy rain occurred, rendering the event significantly more difficult, but not impossible, to safely hold or attend); these must be assessed in light of the circumstances. Any circumstances that are specifically contemplated (included) in the contract—for example, if the contract for the outdoor event specifically permits or requires cancellation in the event of rain. Under international law, it refers to an irresistible force or unforeseen event beyond the control of a state making it materially impossible to fulfill an international obligation, and is related to the concept of a state of emergency. [6] Purpose [ edit] Time-critical and other sensitive contracts may be drafted to limit the shield of this clause where a party does not take reasonable steps (or specific precautions) to prevent or limit the effects of the outside interference, either when they become likely or when they actually occur. A force majeure may work to excuse all or part of the obligations of one or both parties. For example, a strike might prevent timely delivery of goods, but not timely payment for the portion delivered. A force majeure may also be the overpowering force itself, which prevents the fulfillment of a contract. In that instance, it is actually the impossibility or impracticability defenses. In the military, force majeure has a slightly different meaning. It refers to an event, either external or internal, that happens to a vessel or aircraft that allows it to enter normally restricted areas without penalty. An example would be the Hainan Island incident where a U. S. Navy aircraft landed at a Chinese military airbase after a collision with a Chinese fighter in April 2001. Under the principle of force majeure, the aircraft must be allowed to land without interference. The importance of the force majeure clause in a contract, particularly one of any length in time, cannot be overstated as it relieves a party from an obligation under the contract (or suspends that obligation). What is permitted to be a force majeure event or circumstance can be the source of much controversy in the negotiation of a contract and a party should generally resist any attempt by the other party to include something that should, fundamentally, be at the risk of that other party. [4] For example, in a coal -supply agreement, the mining company may seek to have " geological risk" included as a force majeure event; however, the mining company should be doing extensive exploration and analysis of its geological reserves and should not even be negotiating a coal-supply agreement if it cannot take the risk that there may be a geological limit to its coal supply from time to time. The outcome of that negotiation, of course, depends on the relative bargaining power of the parties and there will be cases where force majeure clauses can be used by a party effectively to escape liability for bad performance. Because of the different interpretations of force majeure across legal systems, it is common for contracts to include specific definitions of force majeure, particularly at the international level. Some systems limit force majeure to an Act of God (such as floods, earthquakes, hurricanes, etc. ) but exclude human or technical failures (such as acts of war, terrorist activities, labor disputes, or interruption or failure of electricity or communications systems). The advisory point is in drafting of contract make distinction between act of God and other shape of force majeure. As a consequence, force majeure in areas prone to natural disaster requires a definition of the magnitude of the event for which force majeure could be considered as such in a contract. As an example, in a highly seismic area a technical definition of the amplitude of motion at the site could be established on the contract, based for example on probability of occurrence studies. This parameter or parameters can later be monitored at the construction site (with a commonly agreed procedure). An earthquake could be a small shaking or damaging event. The occurrence of an earthquake does not imply the occurrence of damage or disruption. For small and moderate events it is reasonable to establish requirements for the contract processes; for large events it is not always feasible or economical to do so. Concepts such as 'damaging earthquake' in force majeure clauses does not help to clarify disruption, especially in areas where there are no other reference structures or most structures are not seismically safe. [7] Common law [ edit] English common law does not automatically apply force majeure principles to contracts. Parties to English law contracts who wish to have force majeure relief must spell out what constitutes force majeure in the contract itself. [8] Failure to do so means that a supervening event which prevents performance of the contract will not (and cannot) be caught as a force majeure event, so as to provide relief from performance - because it has not been named as qualifying event in the contract. Common law recognizes the concept of frustration of purpose, a narrower concept that applies when the actual performance of the contract is radically different from what the parties intended. [9]. When force majeure has not been provided for in the contract (or the relevant event does not fall within the scope of the force majeure clause), and a supervening event prevents performance, it will be a breach of contract. The law of frustration will be the sole remaining course available to the party in default to end the contract. If the failure to perform the contract deprives the innocent party of substantially the whole benefit of the contract it will be a repudiatory breach, entitling the innocent party to terminate the contract and claim damages for that repudiatory breach [10]. As interpreted by English courts, the phrase force majeure has a more extensive meaning than " act of God " or vis major. Judges have agreed that strikes and breakdowns of machinery, which though normally not included in vis major, are included in force majeure. (However, in the case of machinery breakdown, negligent lack of maintenance may negate claims of force majeure, as maintenance or its lack is within the owner's sphere of control. ) The term cannot, however, be extended to cover bad weather, football matches, or a funeral: the English case of Matsoukis v. Priestman & Co (1915) held that "these are the usual incidents interrupting work, and the defendants, in making their contract, no doubt took them into account.... The words 'force majeure' are not words which we generally find in an English contract. They are taken from the Code Napoleon, and they were inserted by this Romanian gentleman or by his advisers, who were no doubt familiar with their use on the Continent. " In Hackney Borough Council v. Dore (1922) it was held, "The expression means some physical or material restraint and does not include a reasonable fear or apprehension of such a restraint". In re Dharnrajmal Gobindram v. Shamji Kalidas [All India Reporter 1961 Supreme Court (of India) 1285], it was held, "An analysis of ruling on the subject shows that reference to the expression is made where the intention is to save the defaulting party from the consequences of anything over which he had no control. " Even if a force majeure clause covers the relevant supervening event, the party unable to perform will not have the benefit of the clause where performance merely become (1) more difficult, (2) more expensive, and/or (3) less profitable [11]. Civil law [ edit] France [ edit] For a defendant to invoke force majeure in French law, the event proposed as force majeure must pass three tests: 1. Externality The defendant must have nothing to do with the event's happening. 2. Unpredictability If the event could be foreseen, the defendant is obligated to have prepared for it. [12] Being unprepared for a foreseeable event leaves the defendant culpable. This standard is very strictly applied: CE 9 April 1962, "Chais d’Armagnac": The Council of State adjudged that, since a flood had occurred 69 years before the one that caused the damage at issue, the latter flood was predictable. Administrative Court of Grenoble, 19 June 1974, "Dame Bosvy": An avalanche was judged to be predictable since another had occurred around 50 years before. 3. Irresistibility The consequences of the event must have been unpreventable. Other events that are candidates for force majeure in French law are hurricanes and earthquakes. Force majeure is a defense against liability and is applicable throughout French law. Force majeure and cas fortuit are distinct notions in French Law. Germany [ edit] On the other hand, German law does differentiate between vis major ( höhere Gewalt) and casus fortuitus ( Zufall) but, like English, tends to lump them together under höhere Gewalt which seems conceptually synonymous with the common law interpretation of force majeure, comprehending both natural disasters and events such as strikes, civil unrest, and war. However, even in the event of force majeure, liability persists in the face of default by a debtor. [13] Argentina [ edit] In Argentina, force majeure ( fuerza mayor and caso fortuito) is defined by the Civil Code of Argentina in Article 512, and regulated in Article 513. [14] According to these articles, force majeure is defined by the following characteristics: [15] an event that could not have been foreseen or if it could, an event that could not be resisted. From these, it can be said that some acts of nature can be predicted, but if their consequences cannot be resisted it can be considered force majeure. externality: the victim was not related directly or indirectly to the causes of the event, e. g., if the act was a fire, or a strike unpredictability: the event must had been originated after the cause of the obligation. irresistibility: the victim cannot by any means overcome the effects. EXAMPLE 1  - simple example EXAMPLE 2  - simple example EXAMPLE 3  - distinction between political and other force majeure events EPEC guidance - Termination and Force Majeure Provisions in PPP Contracts - Europe - summary of termination and force majeure provisions used in PPP projects in Europe (2013) EXAMPLE 1 - simple example This is a simple example, with no distinction between political and natural events.  It requires that payment obligations continue even in the case of Force Majeure.  It relates to a BOT project and so there is a Construction Period as well as an operating phase: 1. 1 Definition of Force Majeure In this Clause [], " Event of Force Majeure " means an event beyond the control of the Authority and the Operator, which prevents a Party from complying with any of its obligations under this Contract, including but not limited to: 1. 1. 1 act of God (such as, but not limited to, fires, explosions, earthquakes, drought, tidal waves and floods); 1. 2 war, hostilities (whether war be declared or not), invasion, act of foreign enemies, mobilisation, requisition, or embargo; 1. 3 rebellion, revolution, insurrection, or military or usurped power, or civil war; 1. 4 contamination by radio-activity from any nuclear fuel, or from any nuclear waste from the combustion of nuclear fuel, radio-active toxic explosive, or other hazardous properties of any explosive nuclear assembly or nuclear component of such assembly; 1. 5 riot, commotion, strikes, go slows, lock outs or disorder, unless solely restricted to employees of the Supplier or of his Subcontractors; or 1. 6 acts or threats of terrorism. 1. 2  Consequences of Force Majeure Event 1. 2. 1 Neither the Authority nor the Operator shall be considered in breach of this Contract to the extent that performance of their respective obligations (excluding payment obligations) is prevented by an Event of Force Majeure that arises after the Effective Date. 1. 2 The Party (the “Affected Party”) prevented from carrying out its obligations hereunder shall give notice to the other Party of an Event of Force Majeure upon it being foreseen by, or becoming known to, the Affected Party. 1. 3 If and to the extent that the Operator is prevented from executing the Services by the Event of Force Majeure, while the Operator is so prevented the Operator shall be relieved of its obligations to provide the Services but shall endeavour to continue to perform its obligations under the Contract so far as reasonably practicable [and in accordance with Good Operating Practices], [PROVIDED that if and to the extent that the Operator incurs additional Cost in so doing, the Operator shall be entitled to the amount of such Cost [COST BEING DEFINED AS HAVING NO PROFIT COMPONENT] (the Operator having taken reasonable steps to mitigate the Cost)]. 1. 4 If and to the extent that the Operator suffers a delay during the Construction Period as a result of the Event of Force Majeure then it shall be entitled to an extension for the Time for Completion in accordance with Sub-Clause []. 1. 5 If an Event of Force Majeure results in a loss or damage to the Facility, then Operator shall rectify such loss or damage to the extent required by the Authority, PROVIDED that any Cost of rectification (less any insurance proceeds received by the Operator for the loss or damage) is borne by the Authority (the Operator having taken reasonable steps to mitigate the Cost). 1. 6 [The Operator shall be entitled to payment of the Base Monthly Charge during the period of interruption caused by the Event of Force Majeure. ] 1. 7 [The Contract Period shall be extended by a period of time equal to the period of interruption caused by an Event of Force Majeure. ] [1. 6 OR 1. 7] 1. 3  Optional Termination, Payment and Release Irrespective of any extension of time, if an Event of Force Majeure occurs and its effect continues for a period of [180] days, either the Authority or the Operator may give to the other a notice of termination. After termination under this Sub-Clause [1. 3], the Operator shall comply with Sub-Clause [termination provisions] and the Authority shall pay the Supplier an amount calculated and certified in accordance with []. back to top EXAMPLE 2 - simple example In this example there is no distinction drawn between political and natural force majeure events: - "Force Majeure Event"  means the occurrence of: (a) an act of war (whether declared or not), hostilities, invasion, act of foreign enemies, terrorism or civil disorder; (b) ionising radiations, or contamination by radioactivity from any nuclear fuel, or from any nuclear waste from the combustion of nuclear fuel, radioactive toxic explosive or other hazardous properties of any explosive nuclear assembly or nuclear component thereof; (c) pressure waves from devices travelling at supersonic speeds or damage caused by any aircraft or similar device; (d) a strike or strikes or other industrial action or blockade or embargo or any other form of civil disturbance (whether lawful or not), in each case affecting on a general basis the industry related to the affected Services and which is not attributable to any unreasonable action or inaction on the part of the Company or any of its Subcontractors or suppliers and the settlement of which is beyond the reasonable control of all such persons; (d) specific incidents of exceptional adverse weather conditions in excess of those required to be designed for in this Agreement which are materially worse than those encountered in the relevant places at the relevant time of year during the twenty (20) years prior to the Effective Date; (e) tempest, earthquake or any other natural disaster of overwhelming proportions; pollution of water sources resulting from any plane crashing into []; (f) discontinuation of electricity supply, not covered by the agreement concluded with the [utility company];  or (g) other unforeseeable circumstances beyond the control of the Parties against which it would have been unreasonable for the affected party to take precautions and which the affected party cannot avoid even by using its best efforts, which in each case directly causes either party to be unable to comply with all or a material part of its obligations under this Agreement; (1) Neither Party shall be in breach of its obligations under this Agreement (other than payment obligations) or incur any liability to the other Party for any losses or damages of any nature whatsoever incurred or suffered by that other (otherwise than under any express indemnity in this Agreement) if and to the extent that it is prevented from carrying out those obligations by, or such losses or damages are caused by, a Force Majeure Event except to the extent that the relevant breach of its obligations would have occurred, or the relevant losses or damages would have arisen, even if the Force Majeure Event had not occurred (in which case this Clause 20 shall not apply to that extent). (2) As soon as reasonably practicable following the date of commencement of a Force Majeure Event, and within a reasonable time following the date of termination of a Force Majeure Event, any Party invoking it shall submit to the other Party reasonable proof of the nature of the Force Majeure Event and of its effect upon the performance of the Party's obligations under this Agreement. (3) The Company shall, and shall procure that its Subcontractors shall, at all times take all reasonable steps within their respective powers and consistent with Good Operating Practices (but without incurring unreasonable additional costs) to: (a) prevent Force Majeure Events affecting the performance of the Company's obligations under this Agreement; (b) mitigate the effect of any Force Majeure Event; and (c) comply with its obligations under this Agreement. The Parties shall consult together in relation to the above matters following the occurrence of a Force Majeure Event. (4) Should paragraph (1) apply as a result of a single Force Majeure Event for a continuous period of more than [180] days then the parties shall endeavor to agree any modifications to this Agreement (including without limitation, determination of new tariffs (if appropriate) in accordance with the provisions of Clause 7(4)(e)) which may be equitable having regard to the nature of the Force Majeure Event and which is consistent with the Statutory Requirements. EXAMPLE 3 - distinction between political and other force majeure events Here is a relatively simple clause, with a distinction between political and other force majeure, and the consequences thereof: - Force Majeure Events of Force Majeure For the purpose of this Agreement, an “Event of Force Majeure” means any circumstance not within the reasonable control of the Party affected, but only if and to the extent that (i) such circumstance, despite the exercise of reasonable diligence and the observance of Good Utility Practice, cannot be, or be caused to be, prevented, avoided or removed by such Party, and (ii) such circumstance materially and adversely affects the ability of the Party to perform its obligations under this Agreement, and such Party has taken all reasonable precautions, due care and reasonable alternative measures in order to avoid the effect of such event on the Party’s ability to perform its obligations under this Agreement and to mitigate the consequences thereof. Instances of Force Majeure Subject to the provisions of clause 1. 1, Events of Force Majeure shall include, but not be limited to: (a) the following Natural Force Majeure Events: fire, chemical or radioactive contamination or ionising radiation, earthquakes, lightning, cyclones, hurricanes, floods, droughts or such other extreme weather or environmental conditions, unanticipated geological or ground conditions, epidemic, famine, plague or other natural calamities and acts of God; explosion, accident, breakage of a plant or equipment, structural collapse, or chemical contamination (other than resulting from an act of war, terrorism or sabotage), caused by a person not being the affected Party or one of its contractors or subcontractors or any of their respective employees or agents; to the extent that they do not involve [ country] or take place outside of [ country], acts of war (whether declared or undeclared), invasion, acts of terrorists, blockade, embargo, riot, public disorder, violent demonstrations, insurrection, rebellion, civil commotion and sabotage; strikes, lockouts, work stoppage, labour disputes, and such other industrial action by workers related to or in response to the terms and conditions of employment of those workers or others with whom they are affiliated save, when such event is directly related to, or in direct response to any employment policy or practice (with respect to wages or otherwise) of the party whose workers resort to such action; in relation to the Concessionaire, non-performance by a counter-party to a contract relating to the Concessionaire’s Business by reason of an event or circumstance that would constitute a Natural Force Majeure Event under this Agreement; and (b)  the following Political Force Majeure Events: to the extent they take place in [ country], acts of terrorists, blockade, embargo, riot, public disorder, violent demonstrations, insurrection, rebellion, civil commotion and sabotage; to the extent that they are politically motivated, strikes, lockouts, work stoppages, labour disputes, or such other industrial action by workers, save in relation to the Concessionaire, when such event is directly related to, or in direct response to any employment policy or practice (with respect to wages or otherwise) of the Concessionaire; failure or inability of the Concessionaire to obtain or renew any Consent, on terms and conditions as favourable in all material respects as those contained in the original Consent relating to the Concessionaire’s Business (other than due to a breach by the Concessionaire of any of such terms and conditions); any action or failure to act without justifiable cause by any Competent Authority, other than a court or tribunal(including any action or failure to act without justifiable cause by any duly authorised agent of any Competent Authority, other than a court or tribunal); expropriation or compulsory acquisition of the whole or any material part of the Concessionaire’s System or Investor’s shares in the Concessionaire, except where such appropriation or compulsory acquisition is on account of contravention of law by the Concessionaire or by the Investor; any legal prohibition on the Concessionaire’s ability to conduct the Concessionaire’s Business, including passing of a statute, decree, regulation or order by a Competent Authority prohibiting the Concessionaire from conducting the Concessionaire’s Business, other than as a result of the Concessionaire’s failure to comply with the law or any order, Consent, rule, regulation or other legislative or judicial instrument passed by a Competent Authority; in relation to the Concessionaire, non-performance by a counter-party under a contract relating to the Concessionaire’s Business by reason of an event or circumstance that would constitute a Political Force Majeure Event under this Agreement, provided that breakdown of plant or equipment (unless itself caused by an Event of Force Majeure), or unavailability of funds, shall not constitute an Event of Force Majeure. Effects of an Event of Force Majeure Either Party shall be excused from performance and shall not be in default in respect of any obligation hereunder to the extent that the failure to perform such obligation is due to a Natural Force Majeure Event. Additionally, the Concessionaire, [but not [] in respect of []], shall be excused from performance and shall not be in default in respect of any obligation under this Agreement to the extent that the failure to perform such obligation is due to a Political Force Majeure Event. Notice of an Event of Force Majeure If a Party wishes to claim protection in respect of an Event of Force Majeure, it shall, subject to clause [], as soon as possible following the occurrence or date of commencement of such Event of Force Majeure, notify the other Party of the nature and expected duration of such Event of Force Majeure and shall thereafter keep the other Party informed until such time as it is able to perform its obligations.  The Parties shall use their reasonable endeavours to: (i) overcome the effects of the Event of Force Majeure; (ii) mitigate the effect of any delay occasioned by any Event of Force Majeure, including by recourse to alternative mutually acceptable (which acceptance shall not be unreasonably withheld by either Party) sources of services, equipment and materials; and (iii) ensure resumption of normal performance of this Agreement as soon as reasonably practicable and shall perform their obligations to the maximum extent practicable, provided that neither Party shall be obliged to settle any strike, lock out, work stoppage, labour dispute or such other industrial action by its employees.

Plot [ edit] A Swedish family consisting of a businessman named Tomas, his Norwegian wife Ebba, their young daughter Vera and preschooler Harry stays at a luxury resort in the French Alps. On their second day, they see a controlled avalanche as they are having lunch outdoors on the deck of a restaurant. The powder cloud of the avalanche gives the appearance that the snow is rising and will wipe out everyone on the deck. Tomas, who is filming the avalanche on his mobile phone, panics and runs as the deck quickly empties of patrons, leaving Ebba with their children encased in a dense fog. Patrons return to their tables as the fog dissipates, and no one is hurt. That evening they eat dinner with one of Ebba's friends, who has picked up an American man for the evening. Ebba tells the story of the avalanche in English, but Tomas insists he did not run away from the table, and in Swedish adds that one cannot run in ski boots. They argue in front of their embarrassed guests. Ebba is angry that he would not admit he ran away from the avalanche abandoning them. He says he remembers it differently. Ebba decides she would like a day of skiing by herself. She has drinks with her friend they had dinner with the night before, as the woman says goodbye to another man. Ebba confronts her friend on her adultery, asking her if she loves her husband and children. Her friend says she is fine with having an open relationship with her husband, and that she is happy if he finds a woman to have great sex with, as he is with her. Ebba becomes more insistent, and the friend advises they not argue, and leaves. Mats, one of Tomas's old friends, joins them at the resort with his young girlfriend, Fanni. They join Tomas and Ebba for dinner in their suite. After dinner and lots of wine, Ebba again recounts the story of the avalanche, to the silent horror of Mats and Fanni. Tomas curls up with Harry to play a video game, and listens to Mats who insists that we are not ourselves in emergencies, naming the Estonia disaster as an example. Ebba says Tomas won't admit what he did. Tomas returns and again insists he has a different perspective. So Ebba fetches Tomas's phone and has the four of them watch the video of the incident. Tomas reluctantly agrees the footage showed someone running, but is silent when Mats speculates that Tomas was running away so that he could come back and dig out his family later. As Fanni and Mats leave, Fanni suggests that she would expect Mats to react in the same way as Tomas. Mats is irritated, and their relationship is changed for the rest of the trip. Tomas and Mats ride the ski lift in silence. They ski down fresh powder. Mats suggests Tomas try primal screaming, and Tomas does, screaming swear words into the Alps. Tomas later confesses to Ebba that he hates himself, his cowardice, his cheating in games with his kids, his unfaithfulness. He weeps as his children inside huddle and cry together, hearing their parents argue. On their final day, the family ascends in the ski lift silently. Ebba is concerned about the thick fog. Tomas says he will go first, then the children, then she can follow. Ebba gets lost in the fog, and Tomas briefly leaves the children alone to go rescue her, returning carrying her shortly after.
